Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Wayfind (“Wayfind,” “we,” “us,” or “our”) and govern your access to and use of the Wayfind website, applications, AI tutoring and coaching features, tutor marketplace, and all related products and services (together, the “Service”). They apply to everyone who uses Wayfind — students, parents and guardians, and tutors alike. Part I applies to all users. Part II adds terms for students, parents, and guardians. Part III adds terms for tutors. Please read all of it carefully.

By creating an account, checking a box that references these Terms, submitting a tutor application, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.

Part I — Terms for Everyone

These sections apply to every user of the Service.

1. Eligibility & accounts

You must be at least 13 years old to use Wayfind. If you are between 13 and 17, you may use the Service only with the knowledge and involvement of a parent or legal guardian who agrees to these Terms on your behalf and is responsible for your use. If you are creating an account for a child, you represent that you are that child’s parent or guardian. Tutors must be at least 18 years old.

When you create an account you agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You may not share your account, sell it, or let anyone else use it. Notify us promptly if you suspect any unauthorized use. Each person may maintain only one account unless we expressly permit otherwise. We may refuse, reclaim, or reassign any username at our discretion.

2. What Wayfind is (and isn't)

Wayfind is an AI-powered academic planning and study platform. It provides tools such as an AI academic coach, an AI tutor, practice questions and quizzes, mastery and progress tracking, daily study missions, SAT/ACT and AP preparation, document study aids, college planning guidance, and — where available — access to human tutors.

Wayfind is a study aid and planning tool. It is not a school, accredited institution, or diploma-granting program, and it is not a substitute for your teachers, official coursework, standardized-test preparation providers, or professional academic, medical, financial, or career advising. Score estimates, readiness scores, admissions guidance, and projections are informational estimates only and are not guarantees of any grade, test score, admission, scholarship, or other outcome. You should always verify important information against your official course materials, your school, and the relevant testing or admissions authorities.

3. No professional advice; not a crisis or mental-health service

Wayfind provides educational study tools and general information only. It does not provide professional advice of any kind — including medical, mental-health, psychological, legal, financial, or career advice — and no content or AI output is a substitute for a qualified professional. Do not rely on the Service for such advice.

Wayfind is not a counseling, therapy, crisis, or emergency service, and its AI features are not trained clinicians. If you are experiencing a mental-health crisis, thinking about harming yourself or others, or otherwise in danger, do not rely on Wayfind — contact your local emergency number now, or in the U.S. call or text 988 (Suicide & Crisis Lifeline), and reach out to a trusted adult or professional. By using the Service you understand and accept this.

4. Acceptable use

You agree that you will not, and will not attempt to, do any of the following:

  • Use the Service for anything unlawful, fraudulent, harmful, or deceptive.
  • Cheat, or help others cheat, in violation of any school’s academic-integrity policy or any exam’s rules — including using Wayfind on a live, proctored, or closed-book exam where outside help is prohibited.
  • Upload, submit, or share content you do not have the right to share, or that infringes anyone’s intellectual-property, privacy, or other rights.
  • Post or generate content that is harassing, hateful, defamatory, sexually explicit, violent, or that exploits or endangers minors.
  • Reverse-engineer, decompile, scrape, data-mine, or use bots or automated means to access the Service, except as expressly permitted; or use Service output to build or train a competing product or model.
  • Probe, scan, or test the vulnerability of the Service, breach or circumvent security or authentication, or interfere with or disrupt the Service or its infrastructure (including denial-of-service activity or rate-limit evasion).
  • Impersonate any person or entity, or misrepresent your affiliation, credentials, age, or identity.
  • Resell, sublicense, rent, or commercially exploit the Service or its content without our written permission.

We may investigate and take appropriate action against anyone who, in our sole judgment, violates this section, including removing content, limiting or suspending access, and reporting to law enforcement.

5. Security & responsible disclosure

We work to protect the Service, but no system is perfectly secure, and you use it at your own risk. You are responsible for using strong, unique credentials and for the security of the devices you use to access Wayfind.

You must not attempt to breach, probe, or test our security except through responsible disclosure. If you discover a vulnerability, please report it promptly to security@wayfind.app and give us a reasonable opportunity to address it before disclosing it publicly; do not access, modify, or delete data that is not yours. We appreciate good-faith research and will not pursue action against researchers who act in good faith, follow this section, and comply with applicable law.

6. AI-generated content

Many Wayfind features use artificial intelligence and large language models to generate explanations, questions, feedback, plans, and estimates. AI output can be incomplete, out of date, or wrong, and may occasionally produce content that sounds confident but is inaccurate (“hallucinations”). You are responsible for reviewing AI output before relying on it, and you should not treat it as professional advice. Do not submit AI-generated work as your own where doing so would violate an academic-integrity policy.

To provide these features we send relevant inputs (such as your questions, uploaded documents, and profile context) to third-party AI providers that process them on our behalf. Do not enter information you are not comfortable processing this way. You will not use the AI features to generate content that is illegal or that violates Section 4.

7. Your content & license to us

“User Content” means anything you upload, enter, or generate through the Service — documents, notes, messages, questions, profile details, reviews, and tutor application materials. You retain ownership of your User Content.

You grant Wayfind a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt, display, and use your User Content solely to operate, provide, secure, improve, and support the Service, and as otherwise described in our Privacy Policy. You represent that you have the rights necessary to grant this license and that your User Content does not violate these Terms or any law. We may remove User Content that we believe violates these Terms or is otherwise objectionable, but we are not obligated to monitor content.

If you send us feedback, suggestions, or ideas about the Service, you agree we may use them without restriction or obligation to you.

8. Reviews & user content in the marketplace

The Service may let students and families rate and review tutors, and may display tutor profiles and other user-submitted content. Reviews and profiles reflect the views of the users who post them, not Wayfind, and we do not endorse or independently verify every statement.

You agree that any review you post is honest, based on genuine first-hand experience, and not defamatory, harassing, fraudulent, retaliatory, or improperly incentivized. You may not manipulate ratings — for example, with fake, purchased, coordinated, or self-serving reviews. We may screen, decline to post, or remove content (including reviews) that violates these Terms, but we are not obligated to do so.

9. Copyright & DMCA takedown

We respect intellectual-property rights and expect users to do the same. If you believe content on the Service infringes a copyright you own or control, send a written notice to our designated agent at copyright@wayfind.app that includes:

  • your physical or electronic signature;
  • identification of the copyrighted work you claim was infringed;
  • identification of the allegedly infringing material and where it is located;
  • your name, address, phone number, and email;
  • a statement that you have a good-faith belief the use is not authorized by the owner, its agent, or the law; and
  • a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act on the owner’s behalf.

We will respond to valid notices consistent with the Digital Millennium Copyright Act, including by removing or disabling access to infringing material, and we may terminate the accounts of repeat infringers. If your content was removed and you believe it was a mistake, you may submit a counter-notice.

10. Our intellectual property

The Service — including its software, design, text, graphics, the “Wayfind” name and logo, and all related intellectual property — is owned by Wayfind or its licensors and is protected by law. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own non-commercial educational use. All rights not expressly granted are reserved. You may not copy, modify, distribute, or create derivative works from the Service except as these Terms allow.

11. Plans, billing & refunds

Wayfind offers a free tier and paid subscription plans (currently “Plus” and “Premium”) with different features and usage limits. Current pricing and features are shown at checkout and may change over time. Paid plans are billed through our third-party payment processor; by subscribing you authorize us and that processor to charge your payment method for the applicable fees.

  • Recurring billing. Subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current price until you cancel.
  • Cancellation. You may cancel anytime from your billing settings. Cancellation stops future renewals; it does not, except where required by law, refund the current period, which remains active until it ends.
  • Refunds. Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial periods, unused features, or downgrades.
  • Price changes. We may change prices; we will give notice of changes that affect your renewals, and the new price applies to your next billing period.
  • Taxes. Fees are exclusive of taxes, which you are responsible for where applicable.
  • Failed payments & downgrades. If a charge fails or a subscription lapses, we may suspend paid features or downgrade your account to the free tier. Where we downgrade a paid account, the Service will indicate the change.

12. Privacy & data

Our Privacy Policy explains what personal information we collect, how we use and share it, and the choices you have. Because Wayfind is used by minors, we take particular care with student data and handle it consistent with applicable privacy laws. By using the Service you consent to the data practices described there. Do not upload other people’s personal information without a lawful basis to do so.

13. Third-party services & links

The Service relies on and may link to third-party services (for example, cloud infrastructure, a payment processor, and AI providers). Your use of those services may be governed by their own terms and privacy policies. We are not responsible for third-party services or for the content, products, or practices of any third-party site or resource, including external resources referenced within the Service.

14. Service availability & maintenance

We aim to keep the Service available, but we do not guarantee that it will be uninterrupted, timely, or available at any particular time. The Service may be unavailable or degraded due to maintenance, updates, outages, third-party failures, or events beyond our control, and we may modify, throttle, or limit features — including usage limits — at any time. We are not liable for any unavailability or data loss, and we make no service-level commitment unless separately agreed in writing.

15. Suspension & termination

You may stop using the Service and delete your account at any time. We may suspend, restrict, or terminate your access to all or part of the Service, with or without notice, if we believe you have violated these Terms, to protect the Service or other users, to comply with law, or if providing the Service to you becomes impractical. Upon termination, your right to use the Service ends. Sections that by their nature should survive — including content licenses you granted, intellectual-property rights, disclaimers, limitations of liability, indemnification, and dispute terms — survive termination. We may retain and delete data as described in the Privacy Policy and as required by law.

16. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory.

To the fullest extent permitted by law, Wayfind disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty arising out of course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components; that content, estimates, or AI output will be accurate or reliable; or that any academic, testing, or admissions outcome will be achieved. Any material obtained through the Service is used at your own discretion and risk. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

17. Limitation of liability

To the fullest extent permitted by law, Wayfind and its founders, employees, and providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or academic or admissions opportunity, arising out of or related to your use of (or inability to use) the Service.

To the fullest extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid Wayfind in the twelve months before the event giving rise to the claim, or (b) USD $100. These limits apply regardless of the theory of liability and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

18. Indemnification

You agree to defend, indemnify, and hold harmless Wayfind and its founders, employees, and providers from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to: your use of the Service; your User Content; your violation of these Terms or any law; or your violation of any third party’s rights. We may assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate with us.

19. Governing law & dispute resolution

These Terms are governed by the laws of the United States and of the state in which Wayfind is organized, without regard to conflict-of-laws rules. You and Wayfind agree to first try to resolve any dispute informally by contacting us. If we cannot resolve it, any dispute arising out of or relating to these Terms or the Service will be resolved on an individual basis, and you and Wayfind waive any right to a jury trial and to participate in a class, collective, or representative action, to the extent permitted by law. Nothing here prevents either party from seeking relief in small-claims court or injunctive relief for intellectual-property or misuse claims. Any claim must be brought within one year after it arises, or it is permanently barred, to the extent permitted by law.

20. Electronic communications & notices

By using the Service you consent to receive communications from us electronically — including account, transaction, security, and other service notices — by email, through the Service, or by other electronic means, and you agree that electronic communications satisfy any legal requirement that a communication be in writing.

We may also send you product and marketing messages; you can opt out of marketing at any time using the unsubscribe link or your settings, but you cannot opt out of essential service communications while you have an account. If we offer SMS or push notifications, additional messaging terms may apply and message and data rates may apply.

21. Export controls & sanctions

You must comply with all applicable export-control and economic-sanctions laws. You represent that you are not located in, and are not a national or resident of, any country or region subject to comprehensive government sanctions, and that you are not identified on any government restricted-party or denied-party list. You may not use, export, or re-export the Service in violation of these laws.

22. Accessibility

We want Wayfind to be usable by as many people as possible and are working toward reasonable accessibility. If you have trouble accessing any part of the Service or need an accommodation, contact us at support@wayfind.app and we will try to help and to provide the information or function in an accessible way.

23. Changes to the Service or these Terms

We are actively building Wayfind and may add, change, suspend, or discontinue features at any time. We may also update these Terms from time to time. If we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Changes are effective when posted (or on any later stated date). Your continued use of the Service after changes take effect means you accept the updated Terms.

24. General terms

  • Entire agreement. These Terms and the documents referenced in them are the entire agreement between you and Wayfind about the Service and supersede prior agreements.
  • Severability. If any provision is found unenforceable, the rest remains in effect, and the unenforceable provision will be limited to the minimum extent necessary.
  • No waiver. Our failure to enforce a provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
  • Notices. We may provide notices to you through the Service or by the contact details on your account.

Part II — Students, Parents & Guardians

These terms are in addition to Part I and apply when you use Wayfind to study or when you supervise a student who does.

25. Student accounts & parental involvement

If you are under 18, a parent or guardian must agree to these Terms and is responsible for supervising your use, your account, and any charges. Parents and guardians may request access to, correction of, or deletion of a minor’s information as described in the Privacy Policy. If you are a school, teacher, or organization creating accounts for students, you represent that you have the authority and any required consents to do so.

26. Schools, educators & student records (FERPA)

If a school, district, teacher, or other educational institution uses Wayfind or creates accounts on behalf of students, the institution represents that it has the authority and any consents required by law — including, where applicable, the Family Educational Rights and Privacy Act (FERPA) and similar state student-privacy laws — to do so and to share student information with us.

Where we handle information that constitutes an “education record” on behalf of an institution, we act as a “school official” with a legitimate educational interest and use that information only to provide the Service, consistent with our Privacy Policy and any separate agreement with the institution. Parents and eligible students may exercise their rights through the institution.

27. Academic integrity & honest use

Wayfind is built to help you learn — to diagnose gaps, teach concepts, and build real mastery — not to do your graded work for you. You are solely responsible for following your school’s and teachers’ academic-integrity rules and each exam’s policies. Using Wayfind to complete work you are required to do yourself, or on an assessment where outside help is prohibited, may violate those rules, and you accept that risk and any consequences. Wayfind is not responsible for any disciplinary, grading, or admissions consequence resulting from your use.

28. Guidance, estimates & outcomes

Score projections, readiness and mastery scores, daily missions, and college-path guidance are personalized estimates generated to help you prioritize. They are informational only, depend on the accuracy of the information you provide, and are not promises of any grade, test score, admission, scholarship, or financial outcome. Admissions decisions are made solely by the institutions involved. Always confirm requirements and deadlines directly with your school, testing agencies, and target colleges.

29. Documents & study materials you upload

When you upload notes, textbooks, slides, PDFs, or other materials, you represent that you have the right to use them and to have Wayfind process them to create summaries, flashcards, questions, and study plans for you. Do not upload materials you are not permitted to copy or share, or that contain other people’s personal information without a lawful basis.

Part III — Tutors

These terms are in addition to Part I and apply when you apply to be, or serve as, a tutor on Wayfind. By submitting a tutor application you agree to them.

30. Eligibility, application & verification

To apply as a tutor you must be at least 18 years old and legally able to enter this agreement. You agree to provide truthful, accurate, and complete application information — including your identity, age, education, experience, credentials, and any proof of qualifications you submit. You authorize us to review and verify the information you provide, and to approve or decline any application at our sole discretion. Approval to tutor is a revocable privilege, not a right, and does not create employment.

You must promptly update your information if it changes and must maintain any licenses, certifications, or eligibility you represented. Providing false, misleading, or fraudulent credentials is grounds for immediate removal and may be reported to the appropriate authorities.

31. Identity, age & background checks; your consent

To approve and maintain tutors, and to help keep students safe, you authorize Wayfind and its third-party screening providers to obtain, and you consent to, identity verification, age verification, and background and criminal-history checks about you, where permitted by law. You agree to cooperate and to provide accurate information for these checks.

Where a check is a “consumer report” under the Fair Credit Reporting Act (FCRA) or a similar law, you acknowledge that you will receive any additional disclosures and provide any authorizations that the law requires, and that you have the right to dispute inaccurate information with the screening provider. If a check reveals information that, in our judgment, bears on student safety or your suitability, we may decline or revoke your tutor access, and where required we will follow applicable adverse-action procedures. Background checks are only one part of our process and are not a guarantee about any person; you remain responsible for your own conduct.

32. Independent contractor relationship

Tutors are independent contractors, not employees, partners, agents, or joint venturers of Wayfind. Nothing in these Terms creates an employment or agency relationship. You control how you deliver tutoring within these Terms, you are responsible for your own taxes, insurance, equipment, and expenses, and you are not entitled to employee benefits. You may not bind Wayfind or represent that you speak for it. You are responsible for classifying and reporting your income and complying with all laws that apply to you.

33. Tutor conduct & duty of care

Because you will interact with students, many of whom are minors, you agree to the highest standards of professionalism and safety. You will:

  • Treat every student with respect and never harass, bully, demean, exploit, groom, or endanger a student, or engage in any inappropriate, romantic, or sexual conduct or communication.
  • Keep all interactions on the platform’s provided tools where required, and not solicit students’ personal contact information or move sessions off-platform to avoid oversight or fees.
  • Deliver honest, competent tutoring that supports learning and academic integrity — and never complete graded work, tests, or assignments on a student’s behalf where that would violate academic-integrity rules.
  • Show up for scheduled sessions on time, communicate promptly, and give reasonable notice of any change or cancellation.
  • Protect any student information you access, use it only to provide tutoring, and never disclose or misuse it.
  • Immediately report to Wayfind and, where appropriate, to authorities any concern about a student’s safety or well-being.

You are solely responsible for your interactions and conduct with students and their families. You agree to comply with all laws that apply to tutoring minors, including child-safety, mandatory-reporting, background-check, and licensing requirements in your location.

34. Non-circumvention & off-platform activity

The students and connections you reach through Wayfind are made possible by the Service. You agree not to use Wayfind to find students and then circumvent the platform — for example, by arranging, soliciting, or accepting off-platform payment or off-platform tutoring in order to avoid fees, oversight, or safety protections — during your relationship with Wayfind and for a reasonable period afterward.

You also agree not to solicit Wayfind students or families for competing services through the Service. These restrictions protect both students’ safety and the integrity of the marketplace. Circumvention is grounds for removal and may result in forfeiture of pending payouts to the extent permitted by law.

35. Tutor profile & content

You are responsible for the accuracy of your profile, credentials, subjects, and any materials you share with students, and you represent that you have the right to use and share them and that they do not infringe anyone’s rights. You grant Wayfind the license in Section 7 to display your profile and content to operate and promote the Service and the tutor marketplace. You may not post false credentials, misleading claims, or content that violates Section 4.

36. Payments, fees, taxes & reviews

Where Wayfind facilitates paid tutoring, applicable rates, service fees, payout terms, and payment processing (via our third-party payment processor) will be described in the tutor experience. You authorize Wayfind and its processor to calculate, collect, and remit amounts accordingly, and you agree we may deduct our service fees and any applicable taxes or adjustments before payout. We may also reverse, hold, or claw back payments in cases of fraud, chargebacks, refunds, or violations of these Terms.

You are responsible for your own tax obligations on amounts you earn. You agree to provide any tax documentation we reasonably request (such as a Form W-9), and you understand that we or our processor may issue tax forms (such as a Form 1099) and may withhold or report amounts where required by law.

Students and families may leave reviews and ratings of tutors; reviews reflect the opinions of users, and Wayfind is not responsible for their content, though we may remove reviews that violate these Terms.

37. Removal, suspension & no guarantee of work

Wayfind does not guarantee any amount of tutoring work, students, hours, or earnings. Availability of students and demand is not promised. We may pause, limit, suspend, or permanently remove your access to the tutor marketplace at any time and at our discretion — including for conduct, safety, verification, quality, or legal reasons, or if you violate these Terms — with or without notice. Your obligations regarding student safety, confidentiality, non-circumvention, and conduct survive removal.
